Version 1.0 · Document date: 12 October 2026. Website operator: Modu Mayo Group (Pty) Ltd, Republic of South Africa Company registration: 2025/370800/07 General, legal and policy correspondence: info@modumayo.co.za.
1. Purpose and scope
This is the corporate website of Modu Mayo Group (Pty) Ltd. It describes the Group, its current activity and prospective partnerships. The current website is not a checkout, account registration platform, franchise application, loan or investment application, or automated contract acceptance system.
These terms concern use of this website. They are not a substitute for the actual operating entity's order, quotation, supply, delivery, financing, employment or partnership agreement. Different terms and legally mandated disclosures may apply when a customer contracts with a Group company.
2. Enquiries and communications
A visitor may contact the business through the website's email links, WhatsApp link or a partnership form if that facility becomes available. Sending an ordinary exploratory enquiry does not in itself secure stock, reserve a site, guarantee finance or establish a franchise, employment, investment or partnership relationship.
An electronic transaction can nevertheless create a binding contract under South African law. The effect of a specific quotation, acceptance, payment or exchange of messages depends on its actual content, authority and surrounding circumstances. This website does not impose an artificial requirement that every agreement be printed or signed on paper. Before accepting a trading order, the authorised seller must clearly identify itself and communicate applicable terms and information.
3. The legal entities
The website operator and responsible party for website personal-information processing is Modu Mayo Group (Pty) Ltd (HoldCo). The current food bulk-supply activity is conducted through arrangements intended to be contracted by Modu Mayo Distribution and Trade (Pty) Ltd (TradeCo), company number 2026/676019/07, as identified in actual quotations, invoices and merchant arrangements. Modu Mayo Franchise Finance (Pty) Ltd is a separate company; the site does not make a credit or lending offer.
A shared Group brand does not automatically make one company party to every other company's agreements. This statement cannot displace obligations arising from law, guarantees, agency, actual conduct or contracts.
4. Current activities and future plans
The website describes bulk buying and distribution services currently offered in Mamelodi. Distribution and Trade Centres, additional Gauteng trade corridors, retail Nodes are strategic intentions, not guarantees that any site, licence, capital allocation, facility, production capability or employment is approved or operational. Future site particulars will be disclosed if and when approved.
Nothing here constitutes an offer of securities, guaranteed financial returns, credit, a franchise appointment, supplier exclusivity or a legally committed development.
5. Trade enquiries, prices and delivery
Food supply enquiries on WhatsApp request a discussion with the trading business; the website does not show a live product catalogue or take payment. Actual supply is subject to the real seller's authorisation and the agreed order, product description and grade, availability, pack size or mass, quantity, full price and applicable tax, payment method, delivery address/costs and timetable, substitution process, complaints and lawful cancellation/returns rights.
Any authorised electronic sales flow must comply with applicable information, order-review and record-access obligations, including ECTA where relevant. A general statement here does not replace transaction-specific disclosures before a consumer is bound.
Where the seller is a VAT vendor, displayed and quoted taxable prices must follow the VAT Act, including correct treatment of zero-rated versus standard-rated goods, and the legally required presentation of VAT-inclusive prices or permitted breakdowns. A product is not automatically zero-rated merely because it contains fruit or vegetables.
6. Quality, safety and customer remedies
Goods supplied and services rendered remain subject to applicable South African food standards, health/hygiene rules, the Consumer Protection Act and other legislation in the circumstances where they apply. Applicable remedies for unsafe, spoiled, non-conforming or defective goods cannot be removed by calling food 'perishable' or imposing an unconditional 'no returns' or 'all sales final' statement.
The separate ECTA section 44 cooling-off right may not apply to specified food deliveries and goods likely to deteriorate quickly under ECTA section 42; that does not automatically eliminate other statutory rights or any remedy created by non-compliance with other ECTA requirements. Suitability and safety are assessed on the actual goods, facts and applicable law.
7. Fair dealing and website liability
We take reasonable steps to describe the business accurately. Future availability, proposed facilities and third-party delivery or services should not be presented as assured. Subject to applicable South African law, an ordinary website enquiry does not oblige the Group to approve an investment, partner, supplier or applicant.
No provision of these terms waives or excludes rights or liabilities that cannot lawfully be excluded, including relevant rights under the Consumer Protection Act, POPIA, PAIA, ECTA and food-safety legislation. We do not purport to exclude liability for gross negligence where prohibited, nor to impose a hidden indemnity merely because someone browses or submits an enquiry. Any valid transaction-specific limitation, indemnity or risk notice must be lawfully drafted and disclosed where required, including appropriate attention to CPA sections 48, 49 and 51.
8. Acceptable website use and intellectual property
Do not interfere with systems, submit malicious or unlawful content, misuse personal information, attempt unauthorised access or impersonate the business. Our brand, site content and design are protected by applicable intellectual property rights; use of the site does not transfer ownership or authorise copying the Modu Mayo logo. Imagery may be illustrative and must not be taken as proof of staff identities, owned assets or an operational site.
9. External channels and personal information
Our email and WhatsApp links connect visitors to separate messaging services. Their terms and data practices may apply. Our own processing is described in the website Privacy Notice. Checking a notice acknowledgment is not permission for unrelated promotional messages.
10. Contacts, disputes and legal process
General enquiries: info@modumayo.co.za. Partnership enquiries: partnerships@modumayo.co.za. Legal, PAIA and privacy correspondence: info@modumayo.co.za (shared Group inbox; statutory requests require designated handling). Current bulk food enquiries: 066 413 3763 (WhatsApp).
Customer complaints about a real sale must be referred to the actual seller and follow the applicable order terms and statutory complaint/remedy process. The presence of a legal email does not automatically designate it as a method of service of legal proceedings. Use the legally recognised physical/service address and applicable court rules.
11. Applicable law and changes
These website terms are construed under the laws of the Republic of South Africa, without reducing any mandatory statutory rights or remedies. Updates to these terms will be dated and published. Existing agreements remain subject to their proper terms and applicable law.
